Did you delete your 2.0 files before uploading the 3.0 files?  You weren't supposed to do that.  The upgrade needed some of those files to get your settings.  Specifically at this point it needed the naughtywords.php file so it could put your list of banned words into the database.  If you deleted your messages folder you're also going to have a problem. Put your 2.0 files back, then start over.

*Sigh* see I told you it was something I did.  Deleted everything, reuploading what 2.0  saved because I knew I would screw up and will try again. Thank you!

Stupid Question 102 - The file says to "Replace the files on your server with the 3.0 files EXCEPT for config.php"

I took that to mean delete them and replace them - since that is obviously not correct do I just upload them?  Will this overwrite the files that they need to or do I have to something more specfic in order to replace them.

Apologies for such a mundane question

Yeah just upload the files and let them overwrite the existing files.  Your FTP program should ask you if you want to overwrite the files. Just say yes.
